The organization that you represent, which we will refer to as “Educational Partner”, and Online Education Center (OEC) agree on the following terms and conditions:
The Educational Partner and OEC sign the present agreement in order to formalize the conditions under which distance education programs will be developed and delivered through the Internet. These programs will be created by the Educational Partner and will be carried out under the distance learning mode through the virtual learning management system (LMS) of OEC.
OEC will have professionals specialized in distance education to advise the Educational Partner in the assembly of the academic program, thematic, duration, hiring of teachers, teaching functions, salaries, tuition fees, pricing strategies, university and corporate relations, computer resources of e-Learning, etc. This entire creative process will take place before presenting this training to the public.
Content publishing (content marketing)
OEC must provide the educational partner with the possibility of publishing 1) scientific articles, 2) blogs and 3) debates with the aim of helping to promote their training through content marketing. These three types of content are uploaded to your Online Education Center and are displayed on the connected Website (see next point) of the Educational Partner and in the community if they belong and are approved by the Editorial Committee of that community. Each of these published contents is associated with a training of the Educational Partner to be promoted.
OEC offers the possibility of connecting the Educational Partner’s website with its contents published in its Online Education Center through APIs. In this way, any training, scientific article, blog or debate published in its Online Education Center can also be viewed, commented, shared, etc., on the connected website of the Educational Partner. If the Educational Partner wishes to design and create a new connected Website, OEC provides an external service whose characteristics and prices can be reviewed here.
OEC will be responsible for the design, implementation and control of paid digital advertising, investing the amounts agreed and absorbed by both parties in proportion to the distribution of profits, and sending reports to the Educational Partner at the end. The Educational Partner and OEC agree to invest at least the amount equivalent to 2 (two) full enrollments for this distance training. Other forms of dissemination
Training dissemination strategies change over time and are established according to the objectives and audience of each training. Among the most frequently used strategies we list: 1) we help and promote agreements with similar organizations for advertising or referral program, 2) we assemble mailing tools to send to the lists provided by the Educational Partner, 3) we develop the training sheets of so that they are quickly indexed in search engines, and 4) we make organic posts on social networks through different channels. These strategies may vary over time, the characteristic of the target market and those of the Educational Partner.
OEC must provide the future and current clients / students of the Educational Partner with different forms of payment according to the country of residence in order to enroll in the different trainings presented on the platform. OEC will also provide advice if the Educational Partner wants the payment methods to be their own.
On the other hand, OEC must answer all the pre-sale questions asked by those interested in all the channels available at the moment: Email, Skype, Telephone, Facebook, Twitter and Help Desk.
Learning Management Platform (LMS)
OEC will create for the Educational Partner a true online education center, (Online Education Center), its new virtual campus with its logo and URL customization to load and develop distance training. The virtual campus will have: 1) Virtual conference system: live, recordings and downloads. 2) Connection to video server. 3) Reusable study materials system. 4) Multiple choice exams, development work and self-assessments. 5) System of announcements and forums. 6) Technical and administrative support for teachers and students. 7) Statistics and monitoring.
Bidirectional technical and administrative support
OEC must provide future and current students with the training provided by the Educational Partner through the OEC learning management platform, technical support via manuals / tutoring
Feedback and reissue
OEC will provide performance reports based on statistics and student opinions for each educational program presented, to make corrections and present an upcoming edition.
OBLIGATIONS OF THE EDUCATIONAL PARTNER
Design and originality
The Educational Partner is responsible for the pedagogical and academic design of the educational programs assuring OEC the originality of the program, the study materials and activities to be carried out. In the event that the agreement on this point is not complied with, the Educational Partner will be responsible for responding economically and judicially for any resulting consequences.
Teachers, tutors and coordinators
The Educational Partner will provide the teachers / tutors who will guide the participants in the development of the training and will assume the academic coordination, hiring and payment of teachers, tutors and academic coordinators.
Loading and management
The Educational Partner undertakes to carry out the loading of each training on the OEC learning management platform. Also, the Educational Partner undertakes to carry out the follow-up management throughout the training: announcements to students, accompaniment and assistance to their teachers in the virtual auditorium, answer the help desk of the academic coordination, review the correct functioning of forums, etc. If the Educational Partner does not wish to carry out this load and management, he can hire the services of our transversal Tutor that can be viewed here.
Investment in digital advertising
The Educational Partner agrees to co-invest together with OEC at least the value of 2 (two) full registrations in digital paid advertising that configures, manages and informs OEC. The general characteristics and conditions of digital advertising can be reviewed here.
The Educational Partner will issue the certificates corresponding to each of the trainings it organizes. If the certificates are physical, they will be responsible for printing and distribution to all their students. If the certificates are digital, OEC will provide a computer tool for the creation and automatic download by students. If the Educational Partner wants OEC to be responsible for the design, printing, shipping and tracking of their paper certificates, the cost is USD 20 per certificate.
Knowledge of administrative tools
The Educational Partner agrees to know the correct operation and use of his accounting account, how to transfer money, request a payment, and how to obtain advanced administrative data.
Knowledge of computer tools
The Educational Partner agrees to know the correct use of the personalized virtual campus that has been configured.
COPYRIGHT AND ORIGINALITY
All digital shared material and written production published by the administrators of the Educational Partners (and their assistants and associates) in all training and other content (articles, blogs and debates) may not be removed from the platform without prior written authorization from OEC Although the Educational Partner and each author do not lose their copyright, they accept that nothing can be removed (without authorization) from the platform after it has been published.
All shared digital material and written production published by the administrators of the Educational Partners (and their assistants and associates) in all training and other content (articles, blogs and debates) must be original or have written permission for translation or reproduction.
All shared digital material and written production published by the administrators of the Educational Partners (and their assistants and associates) in all training and other content (articles, blogs and debates) cannot be re-edited and published on other digital media that is not owned by the Educational Partner. It can only be re-edited and published in one of the digital channels of the Educational Partner, not third parties.
ADMINISTRATIVE / ECONOMIC SPECIFICATIONS
Income distribution percentage
Unless there are signed agreements that modify this clause, it is agreed to distribute the net payments received by each student enrolled in the training as follows: 60% for the Educational Partner and 40% for OEC. Therefore, OEC and the Educational Partner will comply with all obligations arising from this agreement without any charge to the counterparty.
The Educational Partner and OEC will determine by common agreement what the cost of each training is and what is the minimum number of registrants required to open it.
Commissions of payment methods
The companies that provide the forms of payment offered to the students have different commissions depending on the service, the country, the scope, etc.
The percentage commissions of the main forms of payment are the following: International Credit Card: (Stripe) 3.5%, Argentine Credit Card: (MercadoPago) 10,5%, Paypal: 6%, Deposits or Transfers to Bank Accounts in Mexico : 3.5%, Deposits or Transfers to Bank Accounts in the rest of the world: 2%.
Who absorbs these surcharges? – As the international Visa and Mastercard regulations prohibit transferring the surcharge to the cardholders, (cardholders) the base surcharge of 3.5% (International Credit Card) is absorbed by the Educational Partner and OEC in it percentage in which profits are received, therefore, must be contemplated in the Retail Price of the training. (PVP) If the payment method chosen by the student has a surcharge greater than 3.5%, the student is the one who absorbs the difference.
Example 1: If the student chooses to pay with an International Credit Card: (Stripe) he will not be charged any additional surcharge. (Visa and Mastercard Regulations) The Educational Partner and OEC will absorb the 3.5% surcharge that this form of payment has.
Example 2: if the student chooses to pay with Paypal (which has a 6% surcharge), a 2.5% surcharge will be charged since the remaining 3.5% is absorbed by the Educational Partner and OEC.
If the forms of payment offered to students are those of OEC, OEC receives 100% of the tuition money and then sends the corresponding agreed percentage to the Educational Partner. The Educational Partner must bill OEC for the amount received. OEC must bill the student.
Otherwise, if it is the Educational Partner who receives 100% of the tuition money, it is he who must send the corresponding percentage agreed to OEC. In this case, OEC must bill the Educational Partner and the Educational Partner must bill the student.
Differentiated pricing policy by region
According to agreements and commercial strategies between the Educational Partner and OEC, we can place different prices per module for each country or continent.
Fixed prices per currency
For all of Europe, (in Euros) United States, (in US Dollars) Mexico, (in Mexican Pesos) Colombia, (in Colombian Pesos) Chile (in Chilean Pesos) and Argentina (in Argentine Pesos) we set the prices of all modules of the training in its corresponding currency so that for any variation of convertibility that these currencies suffer, the prices that the student visualizes and pays do not fluctuate day by day. Educational Partners can corroborate at any time at what price their training is being sold on the Virtual Campus of their Online Education Center, specifically in the section “Conditions and prices”.
Both Educational Partners and OEC must pay some taxes depending on the origin of the buyer, taking into account who receives the student’s money.
At the date of acceptance of this agreement, OEC is obliged to pay 21% of the tuition value for the Value Added Tax (VAT) to the Argentine treasury when the student is of Argentine origin. Therefore, if the forms of payment offered to the Argentine student are from OEC, it is necessary to calculate 21% VAT in the Retail Price (PVP) configured for each training.
Payments from OEC to Educational Partners and from Educational Partners to OEC (depending on who receives the money through the platform) are made after 30 days of completion of each distance training module against invoice of all related persons or companies .
Payment methods to Educational Partners and commissions
The Educational Partner agrees with the OEC Payments Department the best way to make recurring payments. Each organization faces the expenses that correspond to it in sending the money.
On the other hand, if the Educational Partner wants OEC to be responsible for the logistics of payments to its suppliers (teachers, speakers, coordinators, etc.) anywhere in the world, it must assume 100% of the commissions that these payments entail.
Student money back policy
The student is offered a 100% refund of their money if, for reasons beyond their control, they did not receive what was advertised. If the reasons why the money must be returned to a student are the responsibility of the OEC, OEC economically absorbs the total expenses of the money back, also paying the percentage corresponding to the Educational Partner. On the contrary, if the causes for which the student did not receive what was promised are the responsibility of the Educational Partner, it is he who economically absorbs the total expenses of the money back also paying the percentage corresponding to OEC.
CHARACTER OF THE RELATIONSHIP
The relationship of the parties to this agreement is and will be maintained at all times as a relationship between independent contractors. Neither party shall have the authority to assume or create obligations on behalf of the other or to take any action that is intended to create the appearance that it has such authority. The parties expressly state that between them they have no other relationship than that of independent contractors. The Parties undertake to refrain from any act that could lead to errors to third parties in this regard. The Parties, as independent organizations, shall at all times have full responsibility for the conduct of their business, as well as the personnel in their charge. It is made clear that this Agreement does not constitute a partnership between the contracting parties and therefore they will not respond jointly and severally to the obligations that they particularly contract and that are not expressly listed in this agreement.
